Terms of Service

The agreement between you and us for using Tryso, the storefronts and the desktop POS.

Last updated

These Terms of Service ("Terms") are a binding agreement between VVECON (trading as TRYSO), a business registered in Sri Lanka under registration number 38-3281 ("Tryso", "we", "us"), and the person or organization that creates an account or uses the Service ("you", "Customer"). If you accept these Terms on behalf of a company or other organization, you confirm that you have authority to bind it, and "you" means that organization.

By creating an account, clicking "Create organization", signing in with Google, installing Tryso POS for Windows or otherwise using the Service, you agree to these Terms and to the policies they incorporate. If you do not agree, do not use the Service.

1. Definitions

  • Service means the Tryso cloud business management platform at https://tryso.lk and its subdomains, including the web app, the apps and modules you install, hosted storefronts, APIs, the Tryso POS desktop application and any related support.
  • Organization means a workspace you create in the Service. Each Organization has its own database.
  • Customer Data means all data, content and files that you, your members or your End Customers submit to the Service, including products, orders, invoices, accounting records, employee and payroll records and personal data.
  • End Customer means a person who buys from, or interacts with, you through your storefront, POS or other channels powered by the Service.
  • Member means a user you invite to an Organization.
  • Third-Party Service means any product or service not provided by us that you connect to the Service, such as Google, Cloudflare, Meta, TikTok, Shopify, WooCommerce, QuickBooks, Odoo, payment gateways, couriers and messaging providers.
  • Policies means the documents published under /legal, including the Privacy Policy, Acceptable Use Policy, Organization and Account Policy, Subscription and Billing Policy, Refund and Cancellation Policy, Merchant and Storefront Policy, Data Processing Addendum and Third-Party Integrations and API Data Policy. The Policies form part of these Terms.

2. Eligibility and accounts

  1. You must be at least 18 years old and able to form a binding contract under the law that applies to you. The Service is built for businesses and other organizations; it is not intended for personal, family or household use.
  2. You must give accurate registration information and keep it current. You are responsible for all activity under your account and your Organizations, including actions of your Members.
  3. Keep your credentials confidential, turn on the security features we offer and tell us immediately at [email protected] if you suspect unauthorized access.
  4. If you sign in with Google or another identity provider, that provider's terms also apply to your use of it, and you must keep that account secure.

3. The Service

  1. Access. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable right during your subscription to access and use the Service for your internal business purposes and to operate your storefronts.
  2. Plans and apps. Features, limits and apps depend on your plan. Some apps are free, some require a paid plan and some may be offered in beta. Beta features are provided "as is", may change or be withdrawn and are excluded from any service commitment.
  3. Changes. We continuously improve the Service and may add, change or remove features. If we remove a material feature you pay for, we will give you reasonable notice and, where the change materially reduces what you paid for, a pro-rata refund of prepaid fees for that feature if you cancel.
  4. Desktop software. Tryso POS for Windows is licensed under the Tryso POS for Windows Licence in addition to these Terms.
  5. Support. Support is provided as described in the Service Availability and Support Policy.

4. Your responsibilities

You will:

  1. use the Service only in compliance with these Terms, the Acceptable Use Policy and all laws that apply to you, including consumer protection, tax, e-commerce, employment, anti-spam, data protection and export laws;
  2. have a lawful basis, and all notices and consents required, for the personal data you put into the Service or collect through storefronts, tracking pixels and messaging;
  3. publish your own terms, privacy notice, refund and delivery policies to your End Customers — Tryso is not a party to your sales;
  4. be responsible for the accuracy of your prices, taxes, invoices, accounting entries, payroll calculations and statutory filings. The Service is a tool; it does not provide legal, tax, accounting or financial advice;
  5. keep independent copies of any records you are legally required to retain; and
  6. comply with the terms of every Third-Party Service you connect.

5. Customer Data

  1. Ownership. You own your Customer Data. We claim no ownership of it.
  2. Licence to us. You grant us a worldwide, limited licence to host, copy, transmit, process and display Customer Data only as needed to provide, secure and support the Service, to comply with law and as otherwise described in the Privacy Policy and Data Processing Addendum.
  3. Processing role. For personal data in Customer Data you are the controller and we are your processor (or service provider). The Data Processing Addendum applies automatically and forms part of these Terms.
  4. Export. You can export your data from the Service at any time during your subscription and for 30 days after it ends, as described in the Organization and Account Policy.
  5. Aggregated data. We may create de-identified, aggregated statistics about use of the Service (for example, the number of orders processed platform-wide) to operate and improve it. Such statistics will not identify you, your Members or any End Customer.

6. Third-Party Services

The Service lets you connect Third-Party Services. When you do, you authorize us to exchange data with that service on your behalf as described in the Third-Party Integrations and API Data Policy. Third-Party Services are provided by their operators under their own terms and privacy policies. We do not control and are not responsible for them, including their availability, fees, security, or changes to their APIs that affect an integration. If a Third-Party Service withdraws or changes access, we may have to suspend or change the related integration.

7. Fees and payment

Fees, trials, renewals, taxes and failed payments are governed by the Subscription and Billing Policy. Cancellation and refunds are governed by the Refund and Cancellation Policy. Unless stated otherwise, fees are shown and charged in the currency displayed at checkout and are exclusive of taxes, which you must pay.

8. Intellectual property

  1. We and our licensors own the Service, its software, design, documentation, trade marks and all improvements to them. No rights are granted to you except those expressly stated in these Terms.
  2. You must not copy, modify, reverse engineer, decompile or create derivative works of the Service, except to the extent that applicable law expressly allows it despite this restriction.
  3. If you send us feedback or suggestions, we may use them without obligation to you.
  4. Storefront themes and templates are licensed to you for use on your storefront while your subscription is active. Content you add to them remains yours.

9. Confidentiality

Each party will protect the other's non-public information that is marked or reasonably understood to be confidential with at least reasonable care, use it only to perform under these Terms and disclose it only to people who need to know it and are bound by similar obligations, or where required by law (with prompt notice where lawful). Customer Data is your confidential information.

10. Suspension

We may suspend all or part of the Service, or a specific storefront or integration, if (a) you materially breach these Terms or the Acceptable Use Policy; (b) payment is overdue beyond the grace period in the Subscription and Billing Policy; (c) your use poses a security risk or could harm the Service, other customers or third parties; or (d) we are required to by law or a competent authority. Where practical, we will give notice first and give you a chance to fix the problem. We will restore access promptly once the cause is resolved.

11. Term and termination

  1. These Terms start when you first use the Service and continue until all your subscriptions and Organizations end.
  2. You may cancel at any time as described in the Refund and Cancellation Policy and close an Organization as described in the Organization and Account Policy.
  3. We may terminate these Terms or an Organization for material breach not cured within 15 days of notice, immediately for serious or repeated violations of the Acceptable Use Policy or where the law requires, or for convenience with 60 days' notice (in which case we will refund prepaid fees for the unused period).
  4. On termination your right to use the Service ends. We retain and then delete Customer Data as set out in the Organization and Account Policy and Privacy Policy. Sections that by their nature should survive (including 5.5, 8, 9, 12, 13, 14 and 16) survive.

12. Warranties and disclaimers

  1. We will provide the Service with reasonable skill and care and in accordance with the documentation in all material respects.
  2. Except as expressly stated in these Terms, and to the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and that the Service will be uninterrupted or error-free. We do not warrant that tax, payroll or statutory calculations are correct for your circumstances; you must review them.
  3. Nothing in these Terms excludes rights you have under consumer law that cannot be excluded by contract.

13. Limitation of liability

  1. Neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data (except our obligation to restore data from backups under the Service Availability and Support Policy), even if advised of the possibility.
  2. Each party's total liability arising out of or relating to these Terms in any 12-month period is limited to the fees you paid or owed to us for the Service in the 12 months before the event giving rise to the claim. For customers on a free plan this cap is USD 100 or its equivalent in local currency.
  3. These limits do not apply to your payment obligations, your indemnity under section 14, either party's liability for fraud, gross negligence or wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be limited by law.

14. Indemnity

You will defend and indemnify us, our affiliates and personnel against third-party claims, fines and reasonable costs (including legal fees) arising from (a) your Customer Data, (b) your sales, products or services to End Customers, (c) your use of Third-Party Services, or (d) your breach of these Terms or applicable law. We will notify you promptly of the claim, let you control the defence and give reasonable cooperation at your cost.

We will defend you against third-party claims that the Service, as provided by us, infringes that third party's intellectual property rights, and pay damages finally awarded, except where the claim arises from Customer Data, Third-Party Services or your modification or misuse of the Service.

15. Changes to these Terms

We may update these Terms and the Policies. For material changes we will notify account owners by email or in the Service at least 30 days before the change takes effect, unless the change is required sooner by law or addresses a security issue. Continued use after the effective date means you accept the change. If you do not agree, you may cancel before the effective date and receive a pro-rata refund of prepaid fees for the unused period.

16. Governing law and disputes

  1. These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka, without regard to conflict-of-law rules.
  2. The parties will first try in good faith to resolve any dispute by negotiation for 30 days after written notice to [email protected].
  3. If not resolved, the dispute will be finally resolved by arbitration in Colombo, Sri Lanka, under the Arbitration Act No. 11 of 1995, by a sole arbitrator, in English. Either party may seek urgent injunctive relief from a competent court, and either party may bring a claim within the jurisdiction of a small claims or equivalent court.
  4. If you are a consumer, or the law of your country gives you a mandatory right to bring proceedings in your home courts or to rely on its consumer protection law, nothing in this section removes that right.
  5. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17. General

  • Entire agreement. These Terms and the Policies are the entire agreement on their subject and replace prior agreements. If an order form or signed agreement conflicts with these Terms, the signed document prevails.
  • Order of precedence. A jurisdiction supplement published on this site prevails over the global text for customers in that jurisdiction; the Data Processing Addendum prevails on personal data matters.
  • Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, with notice.
  • Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, power or network outages, acts of government, war, civil unrest or failures of Third-Party Services, other than payment obligations.
  • Notices. We send notices to the email address of the Organization owner. You send notices to [email protected] or Colombo, Sri Lanka.
  • Severability and waiver. If a provision is unenforceable, the rest remains in effect. A failure to enforce is not a waiver.
  • Electronic communications. You agree to receive communications and to enter into these Terms electronically.
  • Language. These Terms are written in English. Any translation is for convenience; the English version prevails to the extent permitted by law.

18. Contact

VVECON (trading as TRYSO), registration number 38-3281, Colombo, Sri Lanka. Email [email protected] for legal matters or [email protected] for everything else.

Sri Lanka supplement

These terms apply in addition to the sections above for customers and users in Sri Lanka. Where they conflict, this supplement prevails.

Sri Lanka: who you contract with

If your organization is established in Sri Lanka, or you access the Service from Sri Lanka, you contract with VVECON (trading as TRYSO), a business registered in Sri Lanka under registration number 38-3281, of Colombo, Sri Lanka.

Sri Lanka: electronic contracting

These Terms are formed and accepted electronically. Under the Electronic Transactions Act No. 19 of 2006 (as amended by Act No. 25 of 2017), electronic records, electronic signatures and click-through acceptance have the same legal effect as paper documents and handwritten signatures. Our electronic records of your acceptance, invoices and account activity are admissible as evidence of the transactions they record.

Sri Lanka: consumer rights

The Service is supplied to businesses. If you nevertheless acquire it as a "consumer" under the Consumer Affairs Authority Act No. 9 of 2003, nothing in these Terms limits any right you have under that Act or other Sri Lankan law that cannot be excluded by contract. You may also contact the Consumer Affairs Authority.

Sri Lanka: statutory and payroll features

Features that prepare Employees' Provident Fund (EPF Act No. 15 of 1958) and Employees' Trust Fund (ETF Act No. 46 of 1980) contributions, Advance Personal Income Tax (APIT) under the Inland Revenue Act No. 24 of 2017, VAT and SSCL returns, gratuity under the Payment of Gratuity Act No. 12 of 1983 and similar statutory outputs apply rates and rules we configure from published sources. Rates change; you remain responsible for checking every calculation, filing on time with the Department of Labour, Central Bank or Inland Revenue Department, and paying the amounts due. We will update statutory settings within a reasonable time after an official change is published.

Sri Lanka: prohibited conduct

In addition to the Acceptable Use Policy, you must not use the Service to commit an offence under the Computer Crimes Act No. 24 of 2007, the Online Safety Act No. 9 of 2024, the Payment Devices Frauds Act No. 30 of 2006 or the Prevention of Money Laundering Act No. 5 of 2006.

Sri Lanka: payments in rupees

Fees for Sri Lankan organizations are charged in Sri Lankan rupees (LKR) through payment providers operating under the Payment and Settlement Systems Act No. 28 of 2005 and Central Bank of Sri Lanka directions. See the Subscription and Billing Policy.

Sri Lanka: disputes

Section 16 of the Terms applies. Arbitration is seated in Colombo under the Arbitration Act No. 11 of 1995. For urgent relief, or where arbitration is not available by law, the courts of Colombo have exclusive jurisdiction, including the Commercial High Court of the Western Province (Colombo) for commercial and intellectual property matters within its jurisdiction.

Sri Lanka: language

If a Sinhala or Tamil translation of these Terms is published, the English version prevails to the extent permitted by law.
